STORE TERMS & CONDITIONS

Please read these Terms carefully before placing an order. By completing a purchase through the Init Esports Store, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
1. SCOPE
These Terms and Conditions ("Terms") govern all purchases made through the Init Esports Inc. online storefront ("Store"). By placing an order, the customer ("Customer") agrees to be bound by these Terms. These Terms constitute a binding agreement between the Customer and Init Esports Inc., a Delaware S Corporation.
2. ORDERS
All orders are subject to acceptance and product availability. Init Esports reserves the right to decline or cancel any order at its sole discretion, including but not limited to orders affected by pricing errors, suspected fraudulent activity, or inventory limitations. Order confirmation does not constitute acceptance; acceptance occurs upon shipment or written confirmation.
3. PRICING AND PAYMENT
All prices are displayed in U.S. Dollars unless otherwise stated. Applicable taxes, shipping, and handling charges are calculated and presented at checkout. Payment is due in full at the time of purchase unless Init Esports has extended separate written credit terms. Init Esports reserves the right to correct typographical or pricing errors at any time prior to shipment.
4. SHIPPING AND DELIVERY
At this time, the Store ships only within the United States. Estimated delivery dates are provided for informational purposes only and are not guaranteed. Risk of loss and title for products pass to the Customer upon delivery of the product to the carrier, except where prohibited by applicable law. Init Esports is not responsible for delays caused by carriers or circumstances beyond its reasonable control.
5. ORDERS, CANCELLATIONS, AND RETURNS
All products sold through the Store are made to order. Orders may only be canceled or modified before production begins; once production has started, cancellation cannot be guaranteed. Customers who wish to cancel or modify an order should contact us immediately after purchase. Non-defective items are not eligible for return or exchange; Customers are encouraged to review size charts carefully before ordering. If an item arrives damaged, defective, or incorrect, Customers must contact us within 14 days of delivery, with a photo of the issue, to be eligible for a replacement or refund at no cost. Init Esports reserves the right to repair, replace, or issue a credit at its discretion.
6. WARRANTY
Products sold through the Store are not covered by a separate manufacturer's warranty. Init Esports' sole commitment with respect to product quality is the remedy described in Section 5. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INIT ESPORTS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, INIT ESPORTS' AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO ANY ORDER SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CUSTOMER FOR THAT ORDER. IN NO EVENT SHALL INIT ESPORTS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow the exclusion of certain damages; in such cases, Init Esports' liability shall be limited to the greatest extent permitted by law.
8. INTELLECTUAL PROPERTY
All Init Esports names, logos, trademarks, service marks, content, training materials, and branding (collectively, "IP") are the exclusive property of Init Esports or its licensors. No IP may be reproduced, distributed, modified, or used for commercial purposes without prior written permission from Init Esports. Nothing in these Terms grants the Customer any license or right to use any Init Esports IP.
9. EXPORT AND TRADE COMPLIANCE
Customers are solely responsible for compliance with all applicable import, export, re-export, sanctions, and trade control laws and regulations, including those of the United States and any applicable foreign jurisdictions. Customers represent and warrant that they are not located in, or acting on behalf of entities or individuals located in, any country subject to U.S. embargo or trade sanctions.
10. PRIVACY
Personal information collected in connection with orders is used solely for order processing, customer support, fraud prevention, legal compliance, and related business purposes. Init Esports handles personal data in accordance with its Privacy Policy and applicable privacy laws. Init Esports Inc. does not sell personal information to third parties.
11. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without giving effect to conflict-of-law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in the State of Delaware for resolution of any disputes arising under or relating to these Terms, except where otherwise required by applicable law. The prevailing party in any such dispute shall be entitled to recover reasonable attorneys' fees and costs.
12. SEVERABILITY
If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
13. ENTIRE AGREEMENT
These Terms, together with any applicable order confirmation, constitute the entire agreement between Init Esports and the Customer with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, representations, and understandings.
14. AMENDMENTS
Init Esports Inc. may update or modify these Terms at any time by posting the revised Terms on its website. The version of the Terms in effect at the time of purchase applies to that order. Continued use of the Store following any amendment constitutes acceptance of the revised Terms.
